POSITION SUMMARY

Kutak Rock LLP’s Denver office is seeking a Transactional Attorney with up to five years'  transactional, real estate, public finance and / or corporate securitization experience. Experience working with state and local governments, underwriters and banks in connection with tax-exempt and taxable financings is helpful.

This position will work with other attorneys and clients in a very busy national public finance/securitization practice, involving a wide range of types of transactions and projects throughout the country including: Preparation and negotiation of transaction documents, including indentures, loan agreements, purchase contracts, tax agreements and closing documents. Preparation of disclosure related documents, including offering documents, and other federal securities related documents.

Interacting with and communicating with client representatives and negotiating with opposing counsel.

POSITION SUMMARY:

Duties include assisting in all facets of our Tax Credit practice group, including performing due diligence, the review of title commitments and surveys, preparation and resolution of objections contained in title and survey comment letters, preparation of real estate documents, coordination and facilitation of closings, follow-up with post-closing matters, and contact with clients.

REQUIREMENTS AND QUALIFICATIONS:

Bachelor’s degree and paralegal certificate are preferred and a minimum of five years’ experience with a large law firm in tax credit transactions or complex commercial real estate transactions (or appropriate job-related experience) is required.   Knowledge of tax-exempt bonds, low income housing tax credits, historic tax credits, partnerships and limited liability companies a plus, but not required.  Must have the ability to examine, evaluate and summarize large quantities of information.  Must be proficient with word processing systems (MS Office) and document management software.  Familiarity with legal research procedures and ability to perform limited to extensive topical research required.  Excellent verbal and written communication skills and organizational skills are necessary.   Must be a self-starter with a strong work ethic and willingness to assume responsibility for the start and completion of tasks.  Must be able to work under tight deadlines and respond in a timely and professional manner to high client demands.  Overtime will be required from time to time.

Salary Range: $55,000 - $95,000, commensurate with experience.

CORPORATE REAL ESTATE LEGAL SECRETARY

The Scottsdale office is looking to hire a full time Legal Secretary to join the Corporate Real Estate Department.  The individual will support transactional lawyers within the department and be expected to work with other staff members in a variety of office and/or remote settings. Seeking a candidate that is proficient in Microsoft Office programs, particularly Word. Enjoys a busy, document-intensive transactional practice, committed to providing high-quality work product, strong attention to detail and appreciates working in a team environment. Experience in a law firm preferred, but not required.  Normal business hours are 8:30 am – 5:00 pm Monday - Friday, with some flexibility specific to the Department and related work loads. This position qualifies for the hybrid work arrangement, which is expected to be a minimum of three days in the office and two days remote.

RESPONSIBILITIES:

• General office duties, such as preparing scans, copies, printing e-mails and documents

• Prepare and/or edit legal transactional documents, correspondence, and/or contracts in draft and final form to incorporate handwritten or typed revisions

• Proofread documents for changes to be made before the final copy is produced

• Perform document comparisons using WorkShare

• Assist in managing closing documents and preparing closing binders including electronic closing binders and distribution via various delivery methods

• Organize and maintain extensive sets of files, both electronic and paper

• Maintain e-mails and documents within the Firm’s Document Management System (NetDocs) and properly profile each document according to Department standards

• Proactively accept responsibility and take directions for work assignments and tasks

• Handle client matters (when appropriate) through telephone and e-mail

• Enter lawyers’ time and expenses for submission to Accounting Department through IntApp software

• Maintain work calendars by scheduling appointments, conference calls, meetings, and professional organization events

• Coordinate with in-house conference center for meetings as needed

• Assist with other tasks as assigned or necessary within the Department
